Product Terms and Conditions
These Product Terms and Conditions ("Product Terms") govern access to and use of the software platforms,
applications, cloud-based solutions, digital tools, modules, features, and related services ("Products")
provided by buzzParade FZ LLC ("buzzParade," "we," "our," or "us").
These Product Terms apply to Customers, authorized users, administrators, and other persons accessing or
using a buzzParade Product.
By accessing, subscribing to, purchasing, or using any Product, the Customer acknowledges that it has
read, understood, and agrees to be bound by these Product Terms.
These Product Terms should be read together with buzzParade's applicable:
- Website Terms and Conditions
- Privacy Policy
- Data Processing Agreement, where applicable
- Service Level Agreement, where applicable
- Order Form
- Statement of Work
- Subscription Agreement
- Other written commercial agreements entered into between buzzParade and the Customer
In the event of a conflict between these Product Terms and a separately executed written agreement, the separately executed agreement shall prevail to the extent of the conflict.
01Products Covered
These Product Terms apply to the following buzzParade Products:
- buzzCart – Customer Loyalty and Commerce Platform
- buzzCX – Customer Experience Management Platform
- buzzPoints – Customer Loyalty and Rewards Platform
- buzzComms – Customer Communications and Marketing Activation Platform
- buzzCRM – Customer Relationship Management Platform
- buzzQ – Survey and Customer Research Platform
- buzzCommunity – Digital Customer Community Platform
- buzzD – Data Visualization and Analytics Platform
The Products may be provided individually or as part of an integrated technology ecosystem.
buzzParade may also introduce additional products, modules, features, applications, integrations, or
services from time to time. Unless expressly excluded, such products and services may be subject to
these Product Terms.
02Product Access and Licence
Subject to the Customer's payment of applicable fees and continued compliance with these Product Terms,
buzzParade grants the Customer a limited, non-exclusive, non-transferable, non-sublicensable right to
access and use the subscribed Products during the applicable subscription or contract period.
The licence is granted solely for the Customer's legitimate internal business purposes and for the
purposes specified in the applicable Order Form or commercial agreement.
The Customer may permit its authorized employees, contractors, agents, and representatives to access the
Products, provided that:
- They are authorized by the Customer
- Their access is limited to the Customer's permitted use
- They comply with these Product Terms
- The Customer remains responsible for their use of the Products
No ownership interest in any Product is transferred to the Customer.
03Customer Accounts and Authorized Users
Access to certain Products may require the creation of administrator, user, participant, customer, or
other accounts.
The Customer is responsible for:
- Providing accurate registration information
- Maintaining account information
- Managing authorized users
- Assigning appropriate access permissions
- Protecting login credentials
- Maintaining appropriate internal security controls
- Promptly removing access for users who are no longer authorized
- Notifying buzzParade of suspected unauthorized access
The Customer is responsible for activities performed through its accounts and authorized users, except
to the extent that such activity results directly from a security failure attributable to
buzzParade.
Customers must not share individual login credentials between users where the Product requires separate
user accounts.
04Subscription and Product Plans
Products may be offered under different subscription, licensing, usage, or commercial models.
Depending on the Product, pricing may be based on factors including:
- Number of users
- Number of administrators
- Number of customers or participants
- Number of transactions
- Number of surveys
- Number of campaigns
- Message volume
- Data volume
- Storage capacity
- Number of communities
- Number of projects
- Number of integrations
- API usage
- Feature modules
- Support level
- Other usage metrics specified in the applicable commercial agreement
The applicable Order Form, quotation, proposal, subscription agreement, or other commercial documentation will determine the Customer's permitted usage and applicable fees.
05Customer Data
For purposes of these Product Terms, "Customer Data" means information, records, files, content, data,
submissions, customer information, survey responses, transaction information, communications, CRM
records, loyalty information, community content, dashboards, reports, or other information submitted to
or processed through a Product by or on behalf of the Customer.
The Customer retains ownership of its Customer Data.
buzzParade does not acquire ownership of Customer Data merely because it is uploaded to, stored within,
or processed through a Product.
The Customer grants a limited, non-exclusive right to host, store, transmit, process, display, and
otherwise handle Customer Data solely as necessary to:
- Provide the Products
- Operate and maintain the Products
- Provide technical support
- Prevent fraud and security incidents
- Perform backups
- Improve reliability and performance
- Fulfil buzzParade's contractual obligations
06Customer Responsibility for Data
The Customer is responsible for ensuring that Customer Data submitted to any Product is:
- Accurate
- Lawfully collected
- Lawfully processed
- Relevant to the intended purpose
- Not unlawfully misleading
- Not infringing third-party rights
- Processed in accordance with applicable laws and regulations
The Customer is responsible for obtaining any required permissions, notices, authorizations, or
consents from individuals whose information is collected or processed through the Products.
buzzParade does not independently verify the legality, accuracy, or completeness of Customer Data.
07Data Protection and Privacy
buzzParade processes personal information in accordance with its Privacy Policy and applicable data
protection laws.
Where a Customer uses a Product to collect or process personal information relating to its customers,
employees, participants, consumers, community members, or other individuals, the Customer remains
responsible for determining the lawful purpose and legal basis for such processing.
Depending on the nature of the engagement, buzzParade may act as a data processor, service provider, or
other applicable role under relevant data protection legislation.
Where required, the parties may enter into a separate Data Processing Agreement ("DPA") governing the
processing of personal data.
08Product Security
buzzParade implements commercially reasonable technical and organizational measures designed to protect
the Products and Customer Data.
Security measures may include:
- Authentication controls
- Role-based access controls
- Permission management
- Encryption in transit where supported
- Secure hosting environments
- Monitoring and logging
- Backup procedures
- Vulnerability management
- Security updates
- Access controls for buzzParade personnel
Customers acknowledge that no cloud-based or internet-connected system can guarantee absolute
security.
Customers are responsible for implementing appropriate security controls within their own organization,
including secure passwords, user permissions, device security, and appropriate handling of exported
data.
09Acceptable Use
Customers and Authorized Users shall use the Products only for lawful and legitimate business
purposes.
Customers must not use the Products to:
- Violate applicable laws or regulations
- Commit fraud or facilitate fraudulent activity
- Infringe intellectual property rights
- Collect information unlawfully
- Distribute malware, viruses, ransomware, or malicious code
- Attempt unauthorized access
- Circumvent authentication or security controls
- Interfere with the operation of the Products
- Conduct unauthorized penetration testing
- Reverse engineer the Products except where permitted by mandatory law
- Scrape or systematically extract Product data without authorization
- Circumvent subscription or usage restrictions
- Send unlawful or unsolicited communications
- Store or distribute unlawful content
- Use the Products in a manner that could reasonably damage buzzParade, its infrastructure, or other Customers
buzzParade may suspend or restrict access where it reasonably believes that a violation has occurred or that immediate action is required to protect the Products, Customer Data, other users, or third parties.
10User Accounts
Where account registration is available, you are responsible for maintaining the confidentiality of
your login credentials.
You agree to:
- Keep your password secure.
- Notify buzzParade immediately of any unauthorized use of your account.
- Ensure that information associated with your account remains accurate and current.
- Accept responsibility for activities occurring under your account where resulting from your failure to safeguard your credentials.
buzzParade reserves the right to suspend or terminate accounts that violate these Terms, threaten
platform security, or are used for unlawful or fraudulent purposes.
We are not responsible for losses arising from unauthorized account access resulting from your failure
to protect your login credentials.
11Product-Specific Terms
buzzCart
buzzCart is a customer loyalty and commerce-related platform designed to help
organizations create and manage loyalty programmes and connect loyalty activity with ordering, CRM, and
customer experience environments.
buzzCart may enable Customers to:
- Create flexible earn, redeem, expiry, and campaign rules
- Connect loyalty programmes with ordering, CRM, and customer experience platforms
- Consolidate customer information from POS systems, e-commerce platforms, mobile applications, and other connected sources
- Apply access controls and fraud safeguards to protect programme value
- Use loyalty information to support retention, upsell, cross-sell, and win-back activities
The Customer is solely responsible for:
- Defining its loyalty programme rules
- Establishing eligibility criteria
- Determining the value and conditions of rewards
- Configuring expiry rules
- Ensuring promotional terms are lawful
- Managing customer eligibility
- Ensuring accurate transaction information
- Managing refunds, reversals, and loyalty adjustments
- Complying with applicable consumer protection and promotional laws
buzzParade provides the technology platform but does not assume responsibility for the Customer's underlying loyalty programme, commercial offers, rewards, promotions, or customer relationships.
buzzCX
buzzCX is a Customer Experience Management platform designed to help organizations
collect, manage, monitor, and act upon customer feedback and complaints.
buzzCX may enable Customers to:
- Collect incentive-driven feedback through web and mobile channels
- Trigger automated alerts for critical customer issues
- Classify, escalate, and resolve complaints through managed workflows
- Monitor customer experience through configurable dashboards
- Adapt forms, rules, workflows, and reporting for different markets or business units
The Customer is responsible for:
- Designing appropriate feedback forms
- Determining appropriate incentive programmes
- Ensuring feedback collection complies with applicable laws
- Establishing complaint handling procedures
- Configuring escalation rules
- Reviewing alerts and complaints
- Taking appropriate action in response to customer issues
- Ensuring that authorized personnel have appropriate access to complaint information
buzzParade provides workflow and technology capabilities but does not guarantee that any particular complaint will be resolved within a particular timeframe or that a Customer will achieve a particular customer satisfaction score or business outcome.
buzzPoints
buzzPoints is a customer loyalty and rewards platform designed to help organizations
manage points-based or other loyalty mechanisms and connect loyalty data with broader customer
ecosystems.
buzzPoints may enable Customers to:
- Create flexible earn, redeem, expiry, and campaign rules
- Connect loyalty functionality with ordering, CRM, and customer experience platforms
- Consolidate customer data from POS systems, e-commerce platforms, and mobile applications
- Protect programme value through access controls and fraud safeguards
- Use loyalty data to support retention, upsell, cross-sell, and win-back activity
The Customer remains responsible for:
- The design and commercial operation of its loyalty programme
- Reward and points valuation
- Earning and redemption conditions
- Expiry policies
- Promotional campaigns
- Customer eligibility
- Fraud monitoring and programme governance
- Compliance with applicable consumer and promotional laws
- Communication of programme terms to its customers
buzzParade does not independently determine the monetary or commercial value of points, rewards, benefits, or incentives established by the Customer.
buzzComms
buzzComms is a customer communications and marketing activation platform designed to
help organizations manage targeted, personalized, and data-driven customer communications.
buzzComms may enable Customers to:
- Improve audience targeting
- Increase engagement through relevant and timely communications
- Coordinate campaigns across email, SMS, push notifications, and connected channels
- Conduct testing and analyze campaign performance
- Activate customer data through real-time rules and next-best-action capabilities
The Customer is responsible for:
- Obtaining all legally required permissions for marketing communications
- Maintaining appropriate consent and preference records
- Ensuring message content complies with applicable laws
- Managing opt-outs and communication preferences
- Ensuring audience segmentation is appropriate
- Verifying recipient information
- Configuring campaign rules appropriately
- Ensuring that communications do not constitute unlawful spam or prohibited marketing
buzzParade does not guarantee delivery rates, open rates, click-through rates, conversions, revenue, customer engagement, or other marketing outcomes.

buzzCRM
buzzCRM is a Customer Relationship Management platform designed to provide
organizations with tools for managing customer relationships, sales activity, service processes, and
customer information.
buzzCRM may enable Customers to:
- Create a unified view of customer activity and history
- Track leads, opportunities, tasks, and relationship actions
- Automate repeatable sales and service processes
- Support case management, service levels, and knowledge workflows
- Use role-based dashboards to support cross-team decision-making
The Customer is responsible for:
- Maintaining accurate CRM records
- Configuring workflows appropriately
- Managing user permissions
- Ensuring customer data is lawfully processed
- Defining appropriate sales and service procedures
- Reviewing automated actions
- Maintaining appropriate retention policies
- Ensuring CRM activities comply with applicable laws
buzzParade does not guarantee that the use of buzzCRM will result in increased sales, improved customer retention, or any particular commercial outcome.
buzzQ
buzzQ is a survey, customer research, and feedback platform designed to help
organizations collect and analyze customer and market insights.
buzzQ may enable Customers to:
- Measure customer satisfaction, NPS, and customer experience across different touchpoints
- Evaluate concepts, products, services, and campaigns before launch
- Track brand perception and customer needs over time
- Distribute surveys through web, mobile applications, QR codes, email, SMS, and other supported channels
- Analyze survey response data through real-time reporting and analytics
The Customer is responsible for:
- Designing survey questions and questionnaires
- Determining appropriate survey audiences
- Ensuring survey content is lawful and appropriate
- Obtaining any required participant consent
- Providing appropriate privacy notices
- Ensuring that sensitive or special-category information is collected only where legally permitted
- Managing survey invitations and participant communications
- Interpreting survey results appropriately
buzzParade does not guarantee any particular survey response rate, sample size, research outcome,
statistical accuracy, or business result.
The Customer acknowledges that survey results may be affected by factors including survey design,
participant selection, response rates, sample composition, external circumstances, and the quality of
Customer Data.
buzzCommunity
buzzCommunity is a digital customer community platform designed to enable organizations
to engage customers and participants in continuous research, discussion, feedback, collaboration,
co-creation, and innovation activities.
buzzCommunity may enable Customers to:
- Create always-on communities for continuous customer learning
- Conduct discussions, polls, surveys, quizzes, and live activities
- Test concepts, products, services, and communications with targeted participants
- Support co-creation, innovation, and product development activities
- Manage participant engagement through incentives, communications, permissions, and access controls
The Customer is responsible for:
- Recruiting and managing community participants
- Establishing participation criteria
- Managing invitations and access permissions
- Moderating participant activity where required
- Providing appropriate community rules
- Managing incentives and rewards
- Ensuring that participant communications comply with applicable law
- Protecting participant privacy
- Taking appropriate action regarding participant-generated content
Customers are responsible for all content posted or submitted by their community participants, except
to the extent otherwise expressly agreed in writing with buzzParade.
buzzParade may provide technical moderation or administrative functionality, but the Customer remains
responsible for determining and enforcing its community policies unless separate moderation services
have been purchased.
buzzD
buzzD is a data visualization, reporting, dashboard, and analytics platform designed to
help organizations consolidate, visualize, explore, and distribute business information.
buzzD may enable Customers to:
- Track KPIs, trends, and operational performance
- Consolidate internal and external data into a consistent reporting environment
- Explore performance using interactive filters and drill-down analysis
- Control access and publishing through role-based permissions
- Automate reporting and export insights for wider distribution
The Customer is responsible for:
- The accuracy and completeness of data supplied to buzzD
- Configuring dashboards and reports appropriately
- Defining KPIs and business metrics
- Determining who may access particular information
- Reviewing automated reports before external distribution where appropriate
- Ensuring that data used within buzzD is lawfully collected and processed
buzzParade does not guarantee that dashboard outputs, calculations, visualizations, forecasts, or
analytics will be accurate where underlying Customer Data is inaccurate, incomplete, inconsistent,
delayed, or improperly configured.
Analytics and visualizations provided through buzzD are intended to support business decision-making and
do not constitute professional legal, financial, accounting, investment, medical, or regulatory advice.
13Product Integrations
Certain Products may be integrated with other buzzParade Products or third-party platforms.
Examples may include connections between:
- Loyalty and ordering systems
- Loyalty and CRM systems
- CRM and communications platforms
- Customer experience and survey platforms
- Survey and community platforms
- Data visualization and external data sources
- Other approved enterprise systems
The availability and functionality of an integration may depend upon:
- Third-party APIs
- Customer configuration
- Data formats
- Authentication credentials
- Third-party service availability
- API limitations
- Changes implemented by the third-party provider
buzzParade does not guarantee that an integration will remain compatible indefinitely where the third-party provider changes, limits, suspends, or discontinues its API or service.
14APIs
Where API access is made available, Customers may use buzzParade APIs only in accordance with
applicable technical documentation, usage limits, and commercial terms.
Customers must not:
- Use APIs to circumvent Product restrictions
- Exceed agreed usage limits
- Conduct denial-of-service activity
- Attempt to gain unauthorized access
- Reverse engineer API authentication mechanisms
- Share API credentials publicly
- Use APIs to access information belonging to another Customer
buzzParade may impose reasonable API rate limits to protect system availability and security.
buzzParade may suspend API access where excessive usage, abuse, security risks, or unauthorized activity
is identified.
15Third-Party Services
The Products may rely on or integrate with third-party services, infrastructure, applications, APIs,
payment providers, communication services, analytics providers, cloud hosting providers, or other
technologies.
Third-party services may include services used for:
- Cloud infrastructure
- Email delivery
- SMS delivery
- Push notifications
- Payment processing
- Identity and authentication
- Analytics
- Data storage
- Maps and location services
- Customer communications
- External system integrations
The Customer acknowledges that third-party services may be subject to separate terms and privacy
policies.
buzzParade is not responsible for third-party services that are outside buzzParade's reasonable control.
16Email, SMS and Push Communications
Products such as buzzComms, buzzCX, buzzQ, buzzCommunity, buzzCRM, and other Products may allow
Customers to send communications to individuals.
The Customer is solely responsible for ensuring that communications sent through the Products comply
with applicable laws and regulations.
This includes requirements relating to:
- Marketing consent
- Opt-in requirements
- Opt-out mechanisms
- Do-not-contact requests
- Sender identification
- Message content
- Frequency limitations
- Promotional communications
- Telephone and SMS regulations
- Data protection
buzzParade may suspend messaging functionality where it reasonably believes the Customer is using the Products for unlawful, fraudulent, abusive, or prohibited communications.
17Loyalty Programmes and Incentives
Where buzzCart or buzzPoints is used to operate loyalty programmes, the Customer remains solely
responsible for the commercial terms of its programme.
This includes:
- Points value
- Reward value
- Earning rates
- Redemption rules
- Expiry dates
- Membership requirements
- Promotional campaigns
- Eligibility
- Discounts
- Bonuses
- Customer exclusions
- Programme termination
The Customer is responsible for communicating programme rules clearly to its customers and complying
with applicable consumer protection, promotional, advertising, tax, and other relevant requirements.
buzzParade provides technology that enables loyalty programme administration but does not assume
responsibility for the legal or commercial validity of the Customer's loyalty programme.
18Campaigns and Marketing Activities
Where Products are used for marketing, campaign management, audience targeting, personalization, or
customer activation, the Customer is responsible for the content and configuration of its campaigns.
The Customer must ensure that:
- Campaign content is accurate
- Promotions are properly authorized
- Target audiences are appropriately selected
- Required consent has been obtained
- Exclusion and suppression lists are maintained
- Customer preferences are respected
- Campaigns comply with applicable laws and regulations
buzzParade does not guarantee campaign performance, customer response, revenue, conversion rates, or return on investment.
19Automated Rules and Actions
Certain Products may allow Customers to create automated rules, workflows, alerts, recommendations,
notifications, campaigns, escalations, or other automated actions.
The Customer is responsible for:
- Configuring automated rules correctly
- Reviewing rule logic
- Defining appropriate thresholds
- Assigning appropriate recipients
- Monitoring automated activity
- Taking corrective action where automated processing produces unexpected results
buzzParade is not responsible for consequences resulting from incorrect Customer configuration,
inaccurate Customer Data, or inappropriate business rules.
Where automated functionality produces recommendations or suggested actions, Customers should
independently review such recommendations before taking material business action.
20Artificial Intelligence and Advanced Analytics
Certain Products may incorporate artificial intelligence, machine learning, predictive analytics,
natural-language processing, recommendation engines, or other advanced technologies.
Where applicable, these technologies may be used to support:
- Customer segmentation
- Personalization
- Recommendations
- Trend identification
- Data analysis
- Content assistance
- Next-best-action functionality
- Automated classification
- Customer experience analysis
- Other Product functionality
AI or automated outputs may not always be accurate, complete, unbiased, or suitable for a particular
purpose.
Customers remain responsible for reviewing outputs and exercising appropriate human judgment.
Customers must not rely solely on automated outputs from the Products where doing so could result in
significant legal, financial, employment, health, safety, or other material consequences without
appropriate human review.
21Subscription Term
A Customer's subscription begins on the commencement date stated in the applicable Order Form,
subscription agreement, quotation, or other commercial documentation.
Unless otherwise agreed in writing, subscriptions may automatically renew for successive periods of the
same duration.
Either party may prevent renewal by providing written notice within the applicable notice period
specified in the commercial agreement.
Where no notice period is specified, the parties should provide reasonable advance notice of
non-renewal.
Subscription fees remain payable for the full applicable subscription period unless the parties agree
otherwise in writing.
22Fees and Payment
Customers agree to pay all fees applicable to their selected Products, modules, usage levels,
implementation services, support plans, and other agreed services.
Fees may include:
- Subscription fees
- Implementation fees
- Configuration fees
- Integration fees
- Professional services fees
- Training fees
- Additional usage charges
- Premium support fees
- Other charges specified in the applicable commercial agreement
Unless otherwise agreed:
- Invoices must be paid by the stated due date
- Late payment may result in suspension of access
- Customers remain responsible for applicable taxes and governmental charges
- Fees are generally non-refundable except where expressly agreed or required by applicable law
23Changes to Subscription Plans
buzzParade may offer different Product plans or packages from time to time.
A Customer may upgrade or downgrade its subscription subject to:
- Availability of the relevant plan
- Applicable pricing
- Usage requirements
- Technical limitations
- The terms of the Customer's existing agreement
Changes to a subscription may affect Product functionality, storage, user limits, support levels, integrations, and other capabilities.
24Product Usage Limits
Certain Products may be subject to usage limits.
These may include limits relating to:
- Number of users
- Number of participants
- Number of records
- Number of surveys
- Number of campaigns
- Number of messages
- API requests
- Storage
- Data processing volume
- Number of dashboards
- Number of communities
- Other measurable usage
Customers must not intentionally circumvent applicable usage limits.
Additional usage may be subject to additional fees or require an upgrade.
25Product Availability and Maintenance
buzzParade will use commercially reasonable efforts to maintain availability of the Products.
Products may occasionally be unavailable due to:
- Scheduled maintenance
- Emergency maintenance
- Security updates
- Infrastructure upgrades
- Third-party service interruptions
- Network failures
- Technical incidents
- Events beyond buzzParade's reasonable control
Where reasonably practicable, buzzParade will provide advance notice of planned maintenance that is
expected to materially affect Product availability.
Specific uptime commitments, support response times, maintenance windows, and service credits may be
established under a separate Service Level Agreement.
26Product Support
buzzParade may provide technical support depending on the Customer's subscription plan or commercial
agreement.
Support may include:
- Technical troubleshooting
- Account assistance
- Product guidance
- Incident management
- Documentation
- Configuration assistance
- General Product support
Support does not include legal, regulatory, tax, accounting, financial, or other professional advice unless expressly agreed as a separate professional service.
27Training and Implementation
buzzParade may provide implementation, configuration, onboarding, migration, training, and consulting
services.
Such services may be subject to separate fees and project terms.
Customers are responsible for providing timely access to personnel, systems, data, documentation, and
information required for implementation.
Delays caused by the Customer may result in corresponding changes to implementation timelines and
project costs.
28Intellectual Property Rights
All intellectual property rights relating to the Products, including the software, source code, object
code, product architecture, databases and database structures, algorithms, APIs, system designs, user
interfaces, dashboards, templates, workflows, documentation, methodologies, graphics, product names,
logos, trademarks, trade names, technical specifications, proprietary processes, and all improvements and
enhancements thereto, remain the property of buzzParade FZ LLC or its applicable
licensors.
Nothing in these Product Terms transfers ownership of buzzParade's intellectual property to the
Customer. The Customer receives only a limited, non-exclusive, non-transferable right to access and use
the Products during the applicable subscription or licence period.
The Customer retains all rights, title, and interest in intellectual property and materials owned or
developed by the Customer independently of the Products. This may include Customer trademarks, brand
assets, product information, customer databases, Customer-created content, survey content, marketing
materials, research materials, documentation, and other proprietary business information.
The Customer grants buzzParade a limited, non-exclusive right to use such Customer intellectual property
solely to the extent reasonably necessary to provide, operate, maintain, support, and improve the
Products and related Services.
Nothing in these Product Terms transfers ownership of Customer intellectual property to buzzParade.
29Customer Data Ownership
The Customer retains ownership of Customer Data uploaded, submitted, generated, or otherwise provided
by the Customer through the Products.
buzzParade does not sell Customer Data.
buzzParade may process Customer Data only as reasonably necessary to:
- Provide the Products
- Operate and maintain the Products
- Provide support
- Perform requested integrations
- Maintain security
- Detect and prevent fraud
- Troubleshoot technical problems
- Perform backups
- Meet legal obligations
- Otherwise fulfil the applicable contractual relationship
Nothing in these Product Terms prevents buzzParade from using aggregated or anonymized information that does not identify the Customer or an individual for legitimate purposes such as analytics, product development, service improvement, benchmarking, and reporting.
30Customer Content and User-Generated Content
Certain Products, including buzzCX, buzzQ, and buzzCommunity, may allow individuals to submit feedback,
survey responses, comments, discussions, reviews, ideas, or other content.
The Customer is responsible for establishing appropriate rules governing such content.
Customers must ensure that their use of submitted content complies with applicable laws and does not
infringe the rights of third parties.
buzzParade may remove or restrict access to content where reasonably necessary to:
- Protect the security of the Products
- Comply with applicable law
- Respond to a valid legal request
- Prevent abuse
- Protect another person's rights
- Maintain the integrity of the Products
31Confidentiality
Each party may receive confidential or proprietary information belonging to the other party.
"Confidential Information" may include:
- Business plans
- Commercial information
- Pricing
- Customer lists
- Marketing strategies
- Product roadmaps
- Technical information
- Source code
- Security information
- Financial information
- Trade secrets
- Research data
- Unpublished creative materials
- Other non-public information
Each party agrees to:
- Use Confidential Information only for legitimate purposes connected with the business relationship
- Protect Confidential Information using reasonable safeguards
- Not disclose Confidential Information to unauthorized third parties
Confidentiality obligations do not apply to information that:
- Is publicly available through no breach of these Terms
- Was lawfully known before disclosure
- Is independently developed without using Confidential Information
- Is lawfully obtained from a third party without confidentiality restrictions
- Must be disclosed by law, regulation, court order, or governmental authority
Where legally permitted, a party required to disclose Confidential Information shall provide reasonable
notice to the other party.
These confidentiality obligations survive termination of the applicable subscription.
32Security Incidents
buzzParade maintains reasonable security procedures designed to identify, investigate, and respond to
security incidents affecting the Products.
Where buzzParade determines that a security incident has materially affected Customer Data, buzzParade
will take reasonable steps to:
- Investigate the incident
- Contain and mitigate the impact
- Restore affected services where reasonably possible
- Provide notifications where required by applicable law or contractual obligations
Customers are responsible for notifying buzzParade promptly if they become aware of unauthorized access to their accounts or other suspected security incidents relating to their use of the Products.
33Backups and Data Recovery
buzzParade may maintain backups of Customer Data as part of its operational and disaster recovery
processes.
Backups are intended to support system recovery and operational resilience.
Backup processes do not replace the Customer's responsibility to maintain independent copies of critical
information where appropriate.
buzzParade does not guarantee that every item of Customer Data can be restored following every type of
incident.
34Data Export
During an active subscription, Customers may export available Customer Data using the Product's
available export functionality, subject to technical limitations and applicable usage restrictions.
Where applicable, Customers may also request assistance with data export as a professional service.
Export formats and available fields may vary by Product.
The Customer is responsible for reviewing exported information and maintaining appropriate backups after
receiving the data.
35Data Retention After Termination
Following expiry or termination of a subscription, Customer Data may remain within buzzParade's systems for a limited period in accordance with:
- The applicable commercial agreement
- buzzParade's data retention policies
- The applicable DPA
- Legal or regulatory requirements
Unless otherwise agreed, Customers should export any required data before their subscription
expires.
After the applicable retention period, buzzParade may delete Customer Data from active systems and
subsequently from backup systems in accordance with its standard deletion processes.
Where retention is required by law, buzzParade may retain the relevant information for the required
period.
36Suspension of Services
buzzParade may suspend access to Products where reasonably necessary to:
- Protect the security or integrity of the Products
- Prevent unauthorized access
- Address malicious or abusive activity
- Comply with applicable law
- Respond to a legal or governmental request
- Address material breaches of these Product Terms
- Address overdue payments
Where reasonably practicable, buzzParade will provide advance notice and an opportunity to remedy the
relevant issue.
Where immediate suspension is reasonably necessary to address an urgent security, legal, or operational
risk, advance notice may not be possible.
Suspension does not automatically terminate the Customer's payment obligations.
37Termination by buzzParade
buzzParade may terminate a Customer's subscription or applicable Product access where:
- The Customer materially breaches these Product Terms
- The Customer fails to pay applicable fees
- The Customer engages in unlawful or fraudulent activity
- Continued use creates a material security risk
- The Customer repeatedly violates acceptable-use requirements
- Termination is required by law or a competent governmental authority
Where the breach is capable of remedy, buzzParade will generally provide reasonable notice and an opportunity to remedy the breach before termination.
38Termination by the Customer
A Customer may terminate its subscription in accordance with the applicable Order Form, subscription
agreement, or commercial agreement.
Unless otherwise agreed:
- Termination does not automatically entitle the Customer to a refund of prepaid subscription fees
- Outstanding amounts remain payable
- Access may continue until the end of the paid subscription period
- Customer Data remains subject to the applicable retention and deletion provisions
39Effect of Termination
Upon termination or expiry:
- The Customer's right to access the affected Products ends
- Authorized users may lose access
- API credentials may be disabled
- Automated workflows and scheduled activities may stop
- Integrations may cease functioning
- Customer Data may subsequently be deleted in accordance with applicable retention provisions
The following provisions survive termination where applicable:
- Intellectual property
- Confidentiality
- Payment obligations
- Customer indemnification
- Limitation of liability
- Data retention obligations
- Governing law
- Dispute resolution
- Any other provision that by its nature is intended to survive termination
40Warranties and Disclaimers
Except where expressly stated in a signed written agreement, the Products are provided on an "as is"
and "as available" basis.
To the maximum extent permitted by applicable law, buzzParade disclaims warranties, representations, and
conditions, whether express, implied, statutory, or otherwise, including those relating to:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Availability
- Accuracy
- Reliability
- Compatibility
- Performance
- Continuous or uninterrupted operation
buzzParade does not warrant that:
- The Products will always be available
- The Products will be completely error-free
- Every defect will be corrected immediately
- The Products will meet every Customer requirement
- Data supplied by the Customer will be accurate
- Third-party integrations will always remain available
- Use of the Products will result in a particular business, financial, marketing, research, customer experience, sales, retention, or operational outcome
41Professional and Business Decisions
The Products are technology and information-management tools.
Outputs generated by the Products, including dashboards, reports, analytics, survey results, customer
insights, recommendations, automated classifications, loyalty calculations, campaign recommendations, or
AI-assisted outputs, should be reviewed by appropriately qualified personnel before being used for
material business decisions.
buzzParade does not provide legal, tax, accounting, financial, investment, medical, regulatory, or other
professional advice through the Products unless expressly agreed in writing.
42Limitation of Liability
To the fullest extent permitted by applicable law, buzzParade shall not be liable for indirect,
incidental, special, consequential, exemplary, or punitive damages arising from or relating to the
Products.
This includes, without limitation:
- Loss of revenue
- Loss of profits
- Loss of anticipated savings
- Loss of business opportunities
- Loss of goodwill
- Loss of customers
- Loss of reputation
- Business interruption
- Loss of anticipated marketing results
- Loss resulting from inaccurate Customer Data
- Loss resulting from third-party services or integrations
Subject to applicable law, buzzParade's total aggregate liability arising from or relating to a Product
shall not exceed the fees actually paid by the Customer for the affected Product during the twelve (12)
months immediately preceding the event giving rise to the claim.
Nothing in these Product Terms excludes or limits liability that cannot legally be excluded or limited
under applicable law.
43Customer Indemnification
The Customer agrees to indemnify and hold harmless buzzParade FZ LLC, its affiliates, directors, officers, employees, contractors, licensors, and representatives against claims, damages, liabilities, losses, costs, and reasonable legal expenses arising from:
- The Customer's breach of these Product Terms
- Customer Data
- Customer-generated content
- Unlawful use of a Product
- Violation of applicable laws
- Infringement of third-party rights
- Unauthorized marketing communications
- Customer loyalty programme terms or promotions
- Customer's use of third-party integrations
- Actions of the Customer's Authorized Users
This obligation applies to the extent permitted by applicable law.
44Force Majeure
buzzParade shall not be liable for any failure or delay caused by circumstances beyond its reasonable
control.
Such circumstances may include:
- Natural disasters
- Fire
- Flood
- Earthquake
- Pandemic or epidemic
- War
- Terrorism
- Civil unrest
- Government action
- Changes in law
- Internet or telecommunications failures
- Cloud infrastructure failures
- Cybersecurity incidents
- Utility failures
- Labor disputes
- Third-party provider failures
- Other events reasonably beyond buzzParade's control
buzzParade will use reasonable efforts to mitigate the effects of such events and restore affected services.
45Changes to Products
buzzParade may modify, improve, update, replace, or discontinue Product features from time to time.
Changes may be required for:
- Security
- Compliance
- Technology improvements
- Performance
- Product development
- Customer requirements
- Third-party dependencies
- Operational reasons
buzzParade will use reasonable efforts to avoid materially reducing the core functionality of a
subscribed Product.
Where a material change significantly affects a Customer's contracted functionality, buzzParade will
provide reasonable notice where practicable.
46Changes to These Product Terms
buzzParade may update these Product Terms periodically.
Updates may be made to reflect:
- Changes in Products
- New features
- Changes in applicable laws
- Security requirements
- Changes in business practices
- Improvements to the contractual framework
The updated version will include a revised "Last Updated" date.
Where required, buzzParade will provide appropriate notice of material changes.
Continued use of the Products following the effective date of updated terms constitutes acceptance of
those changes, to the extent permitted by applicable law.
47Assignment
The Customer may not assign, transfer, sublicense, or otherwise transfer its rights or obligations
under these Product Terms without buzzParade's prior written consent.
buzzParade may assign or transfer its rights and obligations in connection with:
- A merger
- Acquisition
- Corporate restructuring
- Sale of assets
- Reorganization
- Transfer of the relevant business
Any permitted successor shall remain subject to the applicable contractual obligations.
48No Waiver
A failure or delay by either party to enforce any provision of these Product Terms shall not constitute
a waiver of that provision or any other right.
A waiver must be expressly made in writing.
49Severability
If any provision of these Product Terms is found to be invalid, unlawful, or unenforceable by a
competent authority, that provision shall be modified or severed only to the extent necessary.
The remaining provisions shall continue in full force and effect.
50Entire Agreement
These Product Terms, together with the applicable:
- Order Form
- Subscription Agreement
- Statement of Work
- Service Level Agreement
- Data Processing Agreement
- buzzParade Privacy Policy
- buzzParade Website Terms and Conditions
- Other written commercial agreements
constitute the agreement between buzzParade and the Customer relating to the Products.
Any separately executed agreement shall prevail over these Product Terms to the extent of an express
conflict.
51Governing Law
These Product Terms and the relationship between buzzParade and the Customer shall be governed by and
interpreted in accordance with the laws of the United Arab Emirates, without regard to
conflict-of-law principles.
Nothing in these Product Terms limits mandatory rights that cannot legally be excluded under applicable
law.
52Dispute Resolution
The parties will first attempt to resolve any dispute through good-faith discussions between authorized
representatives.
If the dispute cannot be resolved amicably within a reasonable period, either party may pursue available
legal remedies before the competent courts of the United Arab Emirates, unless the
applicable commercial agreement specifies another competent forum or dispute resolution mechanism.
Nothing prevents either party from seeking urgent injunctive, interim, or equitable relief where
necessary to protect intellectual property, confidential information, data, security, or other
legitimate interests.
53Notices
Formal notices relating to these Product Terms may be delivered by email, courier, registered mail, or
another legally recognized method to the contact details specified in the applicable commercial
agreement.
Customers are responsible for maintaining current administrative and billing contact information.
Operational communications, product announcements, support communications, and similar notices may be
delivered through the Product, email, or other designated communication channels.
54Electronic Acceptance
Where permitted by applicable law, the Customer's acceptance of these Product Terms may occur electronically, including through:
- Clicking an acceptance checkbox
- Selecting an "Accept" or equivalent button
- Signing an electronic Order Form
- Executing an electronic agreement
- Creating an account where acceptance is presented
- Purchasing or subscribing to a Product
- Accessing or using a Product after being provided with these Product Terms
Electronic acceptance shall have the same effect as written acceptance to the extent permitted by applicable law.

56Effective Date
These Product Terms are effective as of August 03, 2026 and remain effective until
amended or replaced by buzzParade FZ LLC.
By subscribing to, accessing, or using any buzzParade Product, the Customer confirms that it has had the
opportunity to review these Product Terms and agrees to be legally bound by them.
