"Content" means all text, graphics, logos, photographs, videos, software, designs, layouts, trademarks, branding elements, documentation, and other materials available through the Website.

"Deliverables" means any work product created by buzzParade for a Client, including designs, campaigns, reports, creative assets, presentations, websites, software, documents, strategies, videos, animations, and other agreed outputs.

buzzParade reserves the right to modify or update these Terms at any time.

Where changes are material, we may provide notice through the Website or by other appropriate means.

Your continued use of the Website or our Services after revised Terms become effective constitutes acceptance of the updated Terms.

If you do not agree to the revised Terms, you must discontinue use of the Website and Services.

You may use our Website only if:

You have legal capacity to enter into binding agreements.
Your use complies with applicable laws and regulations.
You do not use the Website for unlawful, fraudulent, or unauthorized purposes.

buzzParade reserves the right to refuse access to any individual or organization where we reasonably believe continued access may present legal, operational, or security risks.

Nothing contained within these Terms transfers ownership of buzzParade's intellectual property to any User.

Except as expressly permitted, you may not reproduce, distribute, modify, publish, display, or exploit any Website Content without prior written permission.

Users may voluntarily provide information, files, documents, images, videos, creative assets, feedback, comments, or other materials to buzzParade.

You represent and warrant that:

You own the materials submitted or possess all necessary rights and permissions to provide them.
The materials do not infringe any third-party intellectual property rights.
The materials do not contain unlawful, defamatory, offensive, or malicious content.
Submission of the materials does not violate any confidentiality obligation owed to another party.

You retain ownership of your original materials.

By submitting materials to buzzParade for the purpose of providing Services, you grant buzzParade a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, transmit, and process those materials solely as necessary to perform the requested Services.

Where account registration is available, you are responsible for maintaining the confidentiality of your login credentials.

You agree to:

Keep your password secure.
Notify buzzParade immediately of any unauthorized use of your account.
Ensure that information associated with your account remains accurate and current.
Accept responsibility for activities occurring under your account where resulting from your failure to safeguard your credentials.

buzzParade reserves the right to suspend or terminate accounts that violate these Terms, threaten platform security, or are used for unlawful or fraudulent purposes.

We are not responsible for losses arising from unauthorized account access resulting from your failure to protect your login credentials.

buzzParade FZ LLC provides creative, branding, marketing, advertising, digital, strategy, consulting, production, technology, content creation, campaign management, and related professional services ("Services").

Descriptions of our Services on the Website are provided for general informational purposes only and do not constitute a binding offer.

The scope, deliverables, timelines, pricing, and specific obligations for any engagement will be set out in a written proposal, quotation, statement of work, service agreement, purchase order, or other mutually agreed documentation ("Project Agreement").

In the event of any conflict between these Terms and a signed Project Agreement, the Project Agreement shall prevail to the extent of the inconsistency.

Any quotation, proposal, estimate, or pricing information provided by buzzParade is valid only for the period specified within the document or, where no validity period is stated, for thirty (30) calendar days from the date of issue.

Unless otherwise agreed in writing:

Prices are subject to revision if the project scope changes.
Prices do not include local taxes.
Additional work requested after project commencement may incur additional fees.
Project timelines are estimates and depend upon timely client cooperation.
Acceptance of a proposal constitutes acceptance of these Terms unless otherwise agreed.

buzzParade reserves the right to decline any project at its sole discretion prior to execution of a Project Agreement.

To enable buzzParade to perform the Services efficiently, Clients agree to:

Provide complete, accurate, and timely information.
Supply required materials, assets, and approvals.
Designate an authorized point of contact.
Review deliverables within agreed review periods.
Ensure that all supplied content complies with applicable laws and does not infringe third-party rights.

Clients acknowledge that delays in providing information, approvals, feedback, or required materials may affect project schedules and delivery dates.

buzzParade shall not be liable for delays caused by the Client's failure to fulfill these responsibilities.

Project schedules provided by buzzParade are estimates unless expressly agreed otherwise.

Delivery timelines may be extended where delays result from:

Client-requested revisions.
Late approvals.
Changes to project scope.
Third-party service interruptions.
Force majeure events.
Technical issues outside buzzParade's reasonable control.

Where prolonged inactivity by the Client prevents project completion, buzzParade reserves the right to place the project on hold or close the engagement after providing reasonable notice.

Any request by the Client that materially changes the agreed scope of work may constitute a change request.

Examples include:

Additional deliverables.
New creative concepts.
Additional campaign variations.
Additional meetings beyond those included in the proposal.
New functionality.
Additional production work.
Additional languages or regional adaptations.
Significant redesigns after approval.

buzzParade may provide an updated quotation before commencing work on any approved change request.

Project timelines may also be adjusted accordingly.

Unless otherwise stated in the applicable Project Agreement, project pricing includes only the number of revision rounds specified in the proposal.

Additional revisions requested beyond the agreed allowance may be charged at buzzParade's prevailing rates.

Clients are responsible for reviewing all deliverables before granting approval.

Once a deliverable has been approved by the Client, any subsequent changes may be treated as additional work and billed accordingly.

Approval may be provided in writing, by email, through a project management platform, or by any other mutually agreed communication method.

Clients agree to pay all fees specified in the applicable quotation, proposal, or Project Agreement.

Unless otherwise agreed:

Invoices are payable by the due date stated on the invoice.
Late payments may delay project delivery.
buzzParade may suspend Services until overdue amounts have been paid.
Clients remain responsible for applicable taxes, duties, levies, or governmental charges unless expressly stated otherwise.

Where recurring services are provided, invoices shall continue according to the agreed billing schedule until terminated in accordance with the applicable agreement.

Payments may be processed through secure third-party payment providers, including Stripe or other approved payment processors.

buzzParade does not store complete payment card information on its own systems unless required by applicable law or payment industry standards.

Payment processing is subject to the terms and privacy policies of the relevant payment provider.

Unless otherwise provided in a Project Agreement or required by applicable law:

Deposits are non-refundable once work has commenced.
Fees for completed Services are non-refundable.
Refunds are not available for completed deliverables that conform substantially to the agreed project scope.
Custom creative work, consulting, strategy, branding, design, and production services are generally non-refundable due to their bespoke nature.

Where a refund is approved by buzzParade, it shall be processed using the original payment method where reasonably practicable.

Unless otherwise agreed in writing, all intellectual property rights in preliminary concepts, proposals, drafts, working files, design explorations, methodologies, templates, internal processes, and unused creative materials remain the exclusive property of buzzParade.

Ownership of final Deliverables specifically created for the Client shall transfer only after:

Full payment of all applicable invoices; and
Compliance with any licensing terms set out in the applicable Project Agreement.

Until payment has been received in full, buzzParade retains all intellectual property rights in the Deliverables.

Nothing in these Terms transfers ownership of buzzParade's pre-existing intellectual property, proprietary tools, frameworks, templates, software, or know-how.

Projects may incorporate third-party materials, including but not limited to:

Stock photography
Fonts
Software libraries
Plugins
Music
Video assets
Artificial intelligence tools
Licensed graphics
Open-source software

Such materials remain subject to the licence terms imposed by their respective owners.

buzzParade does not grant rights exceeding those permitted under the applicable third-party licences.

Where Clients request the use of specific third-party assets, they may be responsible for obtaining and maintaining the required licences unless otherwise agreed.

Unless the Client and buzzParade have entered into a written confidentiality or non-disclosure agreement providing otherwise, buzzParade may identify the Client and display completed project work within its portfolio, website, presentations, awards submissions, social media channels, and marketing materials.

buzzParade will not disclose confidential business information while exercising these portfolio rights.

Clients requiring complete confidentiality should notify buzzParade before project commencement.

While buzzParade strives to maintain continuous availability of its Website and digital services, we do not guarantee uninterrupted or error-free operation.

Services may be temporarily unavailable due to:

Scheduled maintenance
Software updates
Security measures
Internet connectivity issues
Third-party service failures
Events beyond our reasonable control

buzzParade shall not be liable for temporary interruptions where reasonable efforts have been made to restore service.

Except as expressly stated in a written agreement, the Website and Services are provided on an "as is" and "as available" basis.

To the maximum extent permitted by applicable law, buzzParade disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties relating to:

Merchantability
Fitness for a particular purpose
Non-infringement
Availability
Accuracy
Reliability
Compatibility
Continuous operation

buzzParade does not guarantee that Services will achieve any particular commercial outcome, increase revenue, improve search rankings, generate leads, or produce specific marketing results.

To the fullest extent permitted by applicable law, buzzParade shall not be liable for any indirect, incidental, consequential, exemplary, punitive, or special damages arising from or relating to the use of the Website or Services.

This includes, without limitation:

Loss of profits
Loss of business opportunities
Loss of goodwill
Loss of anticipated savings
Business interruption
Loss of data
Reputational damage

Where liability cannot legally be excluded, buzzParade's aggregate liability shall not exceed the total amount paid by the Client to buzzParade for the specific Services giving rise to the claim during the twelve (12) months preceding the event.

Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable law.

You agree to indemnify, defend, and hold harmless buzzParade FZ LLC, its directors, officers, employees, contractors, affiliates, licensors, and agents from and against any claims, liabilities, losses, damages, costs, or expenses (including reasonable legal fees) arising from:

Your breach of these Terms.
Your misuse of the Website or Services.
Your violation of applicable laws or regulations.
Your infringement of any third-party intellectual property or other legal rights.
Materials, information, or content supplied by you for use in connection with the Services.

This indemnity survives the completion or termination of the Services where permitted by law.

buzzParade FZ LLC recognizes that, during the course of providing Services, either party may disclose confidential or proprietary information.

"Confidential Information" includes, without limitation:

Business plans
Marketing strategies
Financial information
Customer information
Technical information
Source code
Trade secrets
Product roadmaps
Creative concepts
Commercial proposals
Non-public business information

Each party agrees to:

Use Confidential Information solely for the purpose of performing the Services.
Protect Confidential Information using reasonable security measures.
Not disclose Confidential Information to third parties except where required to perform the Services or where disclosure is required by law.

The obligations of confidentiality shall not apply to information that:

Is publicly available through no fault of the receiving party;
Was already lawfully known before disclosure;
Is independently developed without reference to the Confidential Information; or
Must be disclosed pursuant to a court order or applicable law.

Unless otherwise agreed in writing, confidentiality obligations survive the termination of the Services.

buzzParade may use artificial intelligence ("AI") tools, automation technologies, and other software platforms to assist in the delivery of certain Services, including research, ideation, drafting, design support, content generation, analytics, workflow automation, and productivity enhancements.

Where AI-assisted tools are used:

Human review may be applied where appropriate.
AI-generated outputs may require client review and approval before publication or implementation.
Clients remain responsible for verifying the accuracy and suitability of final Deliverables before use.

buzzParade will take reasonable steps to use AI technologies responsibly and in accordance with applicable laws.

Unless expressly agreed otherwise, the use of AI-assisted tools does not reduce the professional nature or value of the Services provided.

buzzParade may suspend or terminate access to the Website or Services, with or without notice where reasonably necessary, including where:

A User or Client breaches these Terms;
Payment obligations are not met;
Fraudulent or unlawful activity is suspected;
Continued performance would violate applicable law;
Security concerns arise; or
The Client materially interferes with project delivery.

A Client may terminate a Project Agreement in accordance with its terms or by mutual written agreement.

Termination does not affect:

Accrued payment obligations;
Rights relating to completed work;
Intellectual property rights;
Confidentiality obligations; or
Any provisions intended to survive termination.

buzzParade shall not be liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond its reasonable control.

These circumstances may include, without limitation:

Natural disasters
Fire
Flood
Earthquakes
Pandemics
Government actions
Changes in law
Civil unrest
War
Terrorist acts
Utility failures
Internet outages
Cybersecurity incidents
Labor disputes
Failure of third-party suppliers or service providers

Where a force majeure event continues for an extended period, either party may seek to terminate the affected Services by written agreement or as otherwise permitted under applicable law.

By communicating with buzzParade electronically, including through email, contact forms, online portals, messaging platforms, or other digital channels, you consent to receive communications from us electronically.

Electronic communications may satisfy legal requirements that communications be in writing where permitted by applicable law.

The Website may contain links to third-party websites, software platforms, payment providers, social media services, or other external resources.

buzzParade does not control these third-party services and is not responsible for:

Their availability;
Their content;
Their security;
Their privacy practices; or
Their terms of use.

Your use of third-party services is governed solely by the applicable terms and policies of those providers.

These Terms and any dispute arising from or relating to them shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to conflict of law principles.

Where mandatory local consumer protection laws apply, nothing in these Terms shall limit rights that cannot lawfully be excluded.

The parties agree to use reasonable efforts to resolve disputes amicably before commencing formal legal proceedings.

If a dispute cannot be resolved through good-faith discussions within a reasonable period, either party may pursue available legal remedies before the courts of the United Arab Emirates, unless otherwise agreed in a separate written agreement.

Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief where appropriate.

Users and Clients agree to comply with all applicable laws, regulations, sanctions, export controls, intellectual property laws, anti-corruption legislation, and advertising standards relevant to their use of the Website and the Services.

buzzParade reserves the right to refuse or terminate engagements that would require unlawful conduct or create an unreasonable legal or regulatory risk.

You may not assign, transfer, sublicense, or otherwise dispose of your rights or obligations under these Terms without the prior written consent of buzzParade.

buzzParade may assign or transfer its rights and obligations where reasonably necessary in connection with a corporate restructuring, merger, acquisition, sale of business assets, or other lawful business transaction.

Any failure or delay by buzzParade to exercise a right or remedy under these Terms shall not constitute a waiver of that right or remedy.

Any waiver must be made expressly in writing and shall apply only to the specific circumstance for which it is granted.

If any provision of these Terms is determined by a court or competent authority to be unlawful, invalid, or unenforceable, that provision shall be deemed severed to the minimum extent necessary.

The remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy and any applicable Project Agreement, Statement of Work, Proposal, Quotation, Purchase Order, or other written agreement entered into between buzzParade and the Client, constitute the entire agreement relating to the subject matter and supersede all prior discussions, understandings, representations, or agreements relating to that subject matter.
